1. INTRODUCTION

Welcome to Zynix! These General Terms of Sale (“Terms”) govern the purchase and sale of products and services (“Products”) offered by Zynix USA LLC. (“Zynix,” “we,” or “us”) through our online store at zynixtech zynixtech.com/store (“ZynixStore”). By making a purchase, you agree to these Terms. Please review them carefully. If you disagree with any part, refrain from making a purchase. These Terms do not affect your rights under applicable laws. These Terms, along with our General Terms of Use available at zynixtech/general-terms-of-use(“ToU”), constitute the entire agreement between you and Zynix regarding Product purchases. In case of any inconsistency between the ToU and these Terms, these Terms shall prevail.

2. PURCHASING PRODUCTS

A. YOUR RESPONSIBILITY You must comply with all instructions and terms provided by us for purchasing Products through ZynixStore Online.

B. PRODUCT DESCRIPTIONS While we aim for accuracy in describing our Products and services, we cannot guarantee error-free or complete content on ZynixStore Online. If a purchased Product does not match its description or if support falls short per our Limited Warranty, your only recourse is to return the Product following our Return Policy.

C. PLACING AN ORDER Orders must be placed through forms on ZynixStore Online. Other methods are not accepted. You are responsible for the accuracy of your Order. Once placed, Orders are final, non-cancellable, and non-refundable, except as outlined in our Return Policy. Prices and descriptions are subject to change without notice. We reserve the right to accept Orders at our discretion. An email acknowledgment does not constitute Order Acceptance. We may decline or restrict Orders, and resale of certain Products labeled “not for resale” is prohibited. Order records may be kept for a reasonable period post-Acceptance.

D. ORDER CANCELLATION We may cancel your Order under certain circumstances, such as inability to accept within a reasonable timeframe or incomplete payment. In such cases, any prior payment for the Product will be refunded.

F. RETURN POLICY Our Return Policy is available here. Refunds may exclude Cross Border Fees charged by credit card companies. You are responsible for these fees upon refund.

3. PRICING AND PAYMENT TERMS

You acknowledge that the price notified upon Acceptance is authoritative. We may notify you of price revisions or changes to Product descriptions before Acceptance. You agree to proceed with your Order based on such revisions. Additional costs such as shipping, taxes, and Cross Border Fees are your responsibility unless stated otherwise. Payment must be made in full before Acceptance using provided methods. Credit and debit cards will be charged before Product dispatch.

You may not deduct from payments without our consent. Billing errors must be reported within fourteen (14) working days from Acceptance. We will cancel Orders due to billing errors caused solely by us and refund any prior payment.

4. DELIVERY, RISK, AND LIABILITY

Delivery timelines are indicative. We will deliver to the submitted address. Address changes may incur additional costs. We may cancel Orders under certain conditions. Risk passes to you upon delivery or possession. You may only reject or fail to take delivery under specified conditions. We may take appropriate actions if you reject or fail to take delivery.

In case of any delivery issues or defects, we may deliver, replace, repair, or refund at our discretion. We are not liable for damages due to inconsistent use, use with unsuitable equipment, or negligence.

5. SOFTWARE

All software is subject to the respective end user license agreement.

6. LIMITATION OF LIABILITY

Our liability is limited to the amount paid for the relevant Product. We are not liable for incidental or consequential damages. We are not liable for any infringement claims except as provided in our Limited Warranty and Return Policy.

7. LICENSES & EXPORT LAWS

You are responsible for obtaining any necessary licenses or consents. You must comply with applicable export control laws.

8. YOUR REPRESENTATIONS

You must maintain and update your account information. You represent that all provided information is accurate. You may not assume any obligations on our behalf without our consent.

9. PERSONAL INFORMATION AND PRIVACY POLICY

By making a purchase, you accept our Privacy Policy, available here, governing the use of your Personal Information.

10. MISCELLANEOUS

A. GOVERNING LAW These Terms are governed by Singapore law.

B. DISPUTES Any disputes shall be resolved through arbitration administered by the Singapore International Arbitration Centre (“SIAC”). The preceding paragraph does not apply if you are an EU consumer.

C. FORCE MAJEURE We are not liable for any breach due to circumstances beyond our control.

D. ENTIRE AGREEMENT These Terms supersede all previous agreements and prevail over any conflicting terms.

E. TRANSLATION In case of inconsistency, the English version prevails.
